Terms and conditions

Article 1. Definitions

  • Dutch Survey BV: the private limited company Dutch Survey BV, based in Alkmaar, registered with the Chamber of Commerce under number 58645128.
  • Client: the natural or legal person entering into an agreement with Dutch Survey BV.
  • Agreement: any arrangement between Dutch Survey BV and the client for the provision of services.
  • Services: all land surveying, industrial and related services that Dutch Survey BV performs.

Article 2. Applicability

These terms and conditions apply to all offers, quotes and agreements of Dutch Survey BV. Deviations are only valid if agreed in writing.

Any purchasing or other terms of the client are expressly rejected, unless agreed otherwise in writing.

Article 3. Quotes and agreements

All quotes from Dutch Survey BV are non-binding and valid for 30 days, unless stated otherwise. An agreement is concluded at the moment the client accepts the quote in writing or by email.

Any changes to the assignment after acceptance are considered additional work and quoted separately.

Article 4. Performance of services

Dutch Survey BV performs the services to the best of its insight and ability, in accordance with the standards of good craftsmanship. There is an obligation of effort, not an obligation of result, unless expressly agreed otherwise.

The client ensures that all data and access required for the performance is made available in time. Delays as a result of late delivery of information or access are at the client's expense.

Article 5. Delivery times

Stated delivery times are indicative and never qualify as a strict deadline. In the event of an exceeded delivery time, the client must give Dutch Survey BV written notice of default and grant a reasonable period to deliver. Dutch Survey BV is not liable for damage as a result of exceeding indicative delivery times.

Article 6. Prices and payment

All prices are exclusive of VAT, unless stated otherwise. Invoicing takes place after delivery of the work, unless agreed otherwise. For long-term projects, interim invoicing is possible.

The payment term is 30 days from the invoice date. If the payment term is exceeded, the client is in default by operation of law and Dutch Survey BV is entitled to charge the statutory commercial interest, increased with extrajudicial collection costs.

Article 7. Liability

The liability of Dutch Survey BV is limited to the amount paid out by the professional liability insurance in the relevant case. If the insurer does not pay out, liability is limited to the invoice amount of the relevant assignment, with a maximum of 50,000 euros.

Dutch Survey BV is not liable for indirect damage, consequential damage, lost profit or missed savings. The client indemnifies Dutch Survey BV against claims from third parties arising from the use of the delivered survey results.

Article 8. Force majeure

In the event of force majeure, Dutch Survey BV is not obliged to fulfil any obligation. Force majeure is understood to mean: unforeseen circumstances beyond the control of Dutch Survey BV, including weather conditions that make field work impossible, equipment failures, government measures, strikes and pandemics. If the force majeure lasts longer than 60 days, both parties have the right to terminate the agreement in writing.

Article 9. Intellectual property

All drawings, models, reports and other documents produced by Dutch Survey BV are the intellectual property of Dutch Survey BV. After full payment, the client obtains a right of use for the purpose for which the documents were produced. Reproduction, disclosure or provision to third parties is only permitted with the written consent of Dutch Survey BV.

Article 10. Complaints

Complaints about delivered work must be submitted in writing to Dutch Survey BV within 14 days of delivery. After this period, delivery is deemed to have been accepted. A complaint does not suspend the client's payment obligation.

Article 11. Applicable law

Dutch law applies to all agreements between Dutch Survey BV and the client. Disputes will be submitted to the competent court in the district of Noord-Holland, unless the parties agree otherwise.
